Terms of Service

1. Who can use the Services

You must be at least 18 years old and able to form a binding contract to use the Services. If you are using the Services on behalf of a gym, team, or business, you represent that you have authority to bind that organization to these Terms.

2. Concepts and quotes

When you submit an inquiry, we may prepare a design concept and quote based on the information you provide. Concepts are visual illustrations only and are not knit-accurate mockups. Final knit products may differ in color, texture, and appearance from the concept. Quotes are estimates based on the details you share and are not binding until we both confirm an order in writing (including by email).

3. Orders, production, and delivery

Orders are confirmed once you approve a final design and we confirm pricing, quantity, and payment. Typical production and delivery lead times are approximately 4–6 weeks from order confirmation, but timelines are estimates and may vary. We are not liable for delays outside of our reasonable control, including delays caused by manufacturers, carriers, customs, or force majeure events.

4. Payment

Payment terms will be stated on your invoice. Once payment processing is enabled, payments may be handled through Stripe or another provider we designate. All prices are in U.S. dollars unless stated otherwise. You are responsible for any applicable taxes, duties, and shipping charges. Custom-manufactured orders are generally non-refundable once production has begun.

5. Your content and rights

You retain ownership of the logos, brand assets, and other materials you send us ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive, worldwide license to use, reproduce, and modify it solely to prepare concepts, produce your order, and fulfill the Services. You represent that you own or have the necessary rights to Your Content and that our use of it as described here will not infringe any third party's rights. You agree to indemnify and hold us harmless from claims arising out of Your Content, including trademark, copyright, or right-of-publicity claims.

We may display finished, non-confidential work in our portfolio and marketing unless you tell us in writing that you would prefer we not.

6. Our content

The Site, its design, text, graphics, logos (including "Chalk & Thread"), and the concepts we prepare are owned by us or our licensors and are protected by U.S. and international intellectual property laws. Except for Your Content and except for the finished physical products you purchase, nothing in these Terms transfers ownership of any of our materials to you.

7. Acceptable use

You agree not to:

• Use the Services for any unlawful, infringing, or fraudulent purpose.
• Submit content that is defamatory, hateful, harassing, obscene, or that infringes another party's intellectual property, privacy, or other rights.
• Attempt to interfere with, disrupt, or gain unauthorized access to the Site or our systems.

We may refuse any order or terminate access to the Services at our discretion.

8. Disclaimers

THE SERVICES AND ALL CONCEPTS, QUOTES, AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CHALK & THREAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT COLORS OR FINISHES ON MANUFACTURED PRODUCTS WILL EXACTLY MATCH CONCEPTS OR SCREEN RENDERINGS.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHALK & THREAD AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Chalk & Thread from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Your Content, (b) your use of the Services, or (c) your violation of these Terms or any applicable law.

11. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Orange County, Florida, and you consent to the jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be effective when posted. Continued use of the Services after a change means you accept the updated Terms.
